Terms of Service

1. Acceptance of terms

By creating an account or using SellPulse ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. SellPulse is operated by LAG Commerce LLC, a Delaware limited liability company ("we", "us", "our").

2. Eligibility and account

You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately if you suspect unauthorized access.

3. Description of the Service

SellPulse provides software tools for Amazon FBA and Walmart WFS sellers, including product profitability analysis, ROI calculation, sales rank tracking, and a Chrome extension that overlays insights on supported marketplace pages. The Service relies on third-party data providers (such as Keepa and Walmart), so accuracy depends on their data and timeliness.

4. Subscription and billing

Some features require a paid subscription. Plans, prices, and features are described on the pricing page. Subscriptions auto-renew at the end of each billing period unless canceled. Payments are processed by Stripe; we do not store full card numbers.

You may cancel at any time from your account settings. Cancellation stops future charges; we do not refund the current billing period unless required by law. Free trials, when offered, automatically convert to paid subscriptions unless canceled before the trial ends.

5. Acceptable use

You agree not to:

• Use the Service to violate any law, regulation, or third-party right.
• Reverse-engineer, decompile, or attempt to extract source code (except as permitted by law).
• Resell, rebrand, or redistribute the Service without our written consent.
• Scrape, crawl, or otherwise programmatically extract data from the Service beyond your account quota.
• Upload malicious code, attempt to gain unauthorized access, or interfere with the Service's infrastructure.
• Use the Service to engage in market manipulation, price gouging, or fraudulent listings on Amazon or Walmart.

6. Intellectual property

The Service, including its software, design, branding, and content, is owned by LAG Commerce LLC and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own commercial selling activities, subject to these Terms.

Data you input (cost prices, ASINs, notes) remains yours. By using the Service, you grant us a license to store, process, and display that data solely to provide the Service to you.

7. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that profit calculations, fee estimates, or eligibility checks are accurate. You are solely responsible for verifying any decision before listing, buying, or pricing inventory.

8. Limitation of liability

To the maximum extent permitted by law, LAG Commerce LLC and its officers, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold LAG Commerce LLC harmless from any claim, demand, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) listings, purchases, or business decisions you make based on Service output.

10. Termination

You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees due, or use the Service in a way that risks harm to us or other users. On termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitations, indemnification, governing law) survive.

11. Changes to the Service or terms

We may modify the Service or these Terms at any time. For material changes, we will email you and post a notice in the app at least 14 days before the effective date. Continued use after the effective date means you accept the new Terms. If you disagree, your remedy is to stop using the Service.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware. You waive objection to that venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Relationship with Amazon and Walmart

SellPulse is not endorsed by, affiliated with, or sponsored by Amazon.com, Inc. or Walmart Inc. References to Amazon, Walmart, ASIN, FBA, WFS, and other marketplace terms are made for descriptive purposes only. We are not responsible for changes to those marketplaces' policies, fees, or APIs that may affect Service accuracy or availability.
